Oil and honor is an exhaustive and fascinating history, although it falls short of spectacularly engaging. Petzinger does an excellent job of recounting the facts and context of this chapter of financial history. Ultimately, the book is constrained by the subject -- the minutiae of merger document negotiation and court room hagling pale in comparison to the book's earlier section on the forces and personalities behind the disputed transaction. Nevertheless, the book is an excellent addition to one's financial history library.

Thomas Petzinger's first book, Oil and Honor (1987), relates the same story that won him a Pulitzer Prize nomiation in 1985 as he covered the story of the buy out Getty Oil by Texaco for the Wall Street Journal.

Reading this book one can see why he received the nomination. Petzinger's writing style draws the reader in just like a good novel. It is a cliche to say that the reader will not want to put the book down. However, in this case, that cliche entirely fits. It is a great high drama. ... Read more

I gave my only copy away, thus some thoughts from memory! We are preparing the first national awareness and research-fundraising campaign for both Alzheimer's and Parkinson's, the two largest (and closely related) degenerative, neurological diseases. Sadly, after 4,000+ hours of my volunteer labor plus another 5,000+ hours of selfless contributions from 36+ volunteers nationwide, since August 1996, we have not found one organization that even comes close to believing or practicing "The Power of Two". Fortunately, we have found and built lasting relationships with INDIVIDUALS that believe and practice the all-important principles explained eloquently, yet in plain English, by the authors of Power of Two. The Power of Two is now required reading for our leadership and for leadership of any organization hoping to associate with us. As a corporate executive, I am always seeking material that will provide new insights into ensuring deal success. This book doesn't offer much. Many of the major findings I've either read before in newspapers or come straight from the pages of more detailed books on how to succeed at M&A. There is not a lot of detail on following through with particular strategies and the idealism of the authors suggests that they have never been true players in the process. This book seems like a diluted version of the two pioneering books that have already said it all --"Joining Forces" and "Winning at Mergers & Acquisitions". Nortel started out in the late 19th century as the telephone-manufacturing arm of Bell Canada, originally building telephones based on the designs of a leading U.S. telecom manufacturer, Western Electric Co. For a time it also produced a host of consumer electrical products like fire alarms and radios, and served as a major supplier for the Canadian military during WW II. But by the late 1960s, Nortel began exploring digital telephone switches, long before other telecommunications companies, including U.S. behemoth AT&T, which became its eventual customer. In 2000, Nortel was spun off as an independent corporation by its parent company.

MacDonald, a technology writer for various newspapers, including the Ottawa Citizen and the Financial Post, and a former Canadian federal government economist, ably documents Nortel's history with a mixture of reportage and analysis. He calls the government's sanctioning of Nortel's monopolistic position as the preferred supplier for Bell Canada "a covert industrial policy"--one that allowed the company to grow into the international player that it is. Hello! - The magic word that was adopted as a standard to start a telephonic conversation in 1880. To me it was a surprise that we needed a standard to start a conversation. But then the technologies behind the millions of conversations and communications across the globe have constantly defied standards to create discontinuities at a rapid pace. Today, voice is a small component of the global traffic. Digitization has made it possible to carry Data, Voice and Video at unimaginable speeds - You can shift a large public library from coast to coast within 14 seconds. But this seems to be just the beginning. Amazed? Read on.

The book traces the history of telecommunications from the discovery of the telephone till today's high speed digital transmission through optic fibers. Nortel is at the center stage throughout the book while Cisco and Lucent are seen as its major competitors. The Telecom Industry is thus not a part of the "new economy" and players like Cisco are new players in the old economy Industry. This is what I infer from this book.The secret behind Nortel's success and survival for over hundred years , weathering economic and technological discontinuities seems to be its ability to continuously innovate through investments in R&D and by promoting an entrepreneurial work culture.

Nortel has been "at theright places at the right time"- Enchasing on discontinuities . Cisco is the champion in routing data traffic while Nortel is attempting to use its expertise in telephony and beat Cisco by using a combination ofpacket and circuit switching.

A powerful theme lacks the punch of narration. Reads like a text book on telecom history.

Throughout 14 crisp and lucid chapters, MacDonald explains "how innovation and vision created a network giant." First, he provides a brief history of the company and then identifies its key executives, from C.F. Wise, Sr. (president 1895-1913, chairman1914-1917) until Frank Carlucci (chairman, 1999-present). What a colorful history it has been thus far.

My primary interest, however, is in the company today and (especially) in its prospects for the future inthe face of what is certain to be ferocious competition. As MacDonald observes in the Introduction, "Nortel is at the forefront of laying down the information superhighways now revolutionizing the lives of everyone everywhere. Indeed, Nortel has a good-shot at becoming the number one provider of Internet infrastructure...This book, in providing a look at the emergence and prospects for Nortel, is, in part, an introduction to one of the biggest stories now unfolding: the fierce rivalry of three titans [ie Nortel, Cisco Systems, and Lucent Technologies] to construct and expand the networks of the future."

According to MacDonald, one of the main factors in the Nortel's success this far [i.e. when the book was published]has been its ability to capitalize on discontinuities,"those sudden breaks in the environment or the way things are done." For example, the transition from analog to digital telephonesystems, from wired to wireless communications, and from copper-based to fiber-optic transmission systems. Also, the deregulation of the telecommunications industry, allowance of interconnection to the telephone network by the FCC (1971), and then the break-up of the AT&T monopoly. MacDonald does a brilliant job of examining and explaining this theme of discontinuities as well as other themes which also relate to "the role of institutional arrangements" and to "the internal dynamics of the corporation."

As he thinks aboutan uncertain future, MacDonald suggests how Nortel has differentiated itself thus far from its two main rivals: its lead infiber optics, the relatively greater amount of its research anddevelopment, its greater diversification of both product andgeographic distribution, its speed advantage over Lucent to embrace growth opportunities of the Internet and IP networks, and through the leveraging of its strengths in optical transmission. Of course, how long Nortel can sustain these competitive advantages remained to be seen then and serious problems have since developed or have at least been revealed.

Who will derive the greatest benefit from reading this book? All of the executives now employed by Nortel, Cisco, and Lucent as well as by other "players" such as Siemens, Alcatel, and Ericsson. Also, all of the executives at other companies which now have (or seek) B2B relationships with any of the aforementioned "giants." Finally, other executives such as I who are not directly involved but are eager nonetheless to learn how and why some companies become "giants" (at least for a time) and others don't. I am deeply grateful to MacDonald for what I have learned from his book and thank him, also, for presenting his material with style,grace, and (when appropriate) a sense of humor. ... Read more

Will Yegge has the unique ability of being able to present a difficult subject in a logical, intelligent, concise and interesting manner.

Even though I have no background whatsoever in accounting, I was able to follow the information in this book and use it as my primary guide in valuing a company that I was interested in purchasing. It is a great resource for novices.

Although his work on valuation techniques is straightforward in later chapters, the 1st several chapters do not do an adequate job of explaining the psychology of business valuation, buying or selling or the 'intangible' of business value. Words such as 'steeds' and 'pestilence' belong in literature, not reference manuals. Are Cliff Notes available to decipher just what these chapters are trying to communicate? I am trying to buy a business;lots of hard work lay ahead. Why must this book start off so unclear?

In preparation to sell my business for appx $10MM I sought many references on how to make a professional presentation and and use methodology that would be reasonable and logical to lead to a sale. Wilbur has doen a great job with this and his other book, How To Sell A business. I recommend that anyone read there two before putting a package together. I have had many favorable comments from both principals and brokers concerning the structure of the presentation I was able do make using Wilbur's help.

    Messrs Grubb & Lamb have given a refreshing angle on a subject that has received way too much of the same angle and no fresh perspectives.This very straightforward and well researched work is void of buzzwords and "7-step" processes so common in sponsored, self-promoting tomes.Although the book has its "six ways to profit" from m&a, it's thorough, well composed and unlike other m&a texts, gives those of us not going through a merger something to think about when our competitors are experiencing "merger chaos".This is a book I've gone back to several times and referenced its rich ideas as well as lengthy appendices of data.Highly recommend.

    The authors do a fine job expanding on the ideas of others.Savvy executives have known about this for years.I recall an article in USA Today back in 1996 or 1997 about some consultants who were peddling the same idea as corporate judo or ju jitsu.So while the idea is not new, they've done a good job developing an approach to capitalize on the chaos following mergers.

    I thought this book would provide thoughtful insights into defending one's market in the throes of consolidation. It has some good ideas and some flawed but it's not really a book's worth. Marketing due diligence, in which merging firms take a market-focused approach to consolidation has already been detailed at length by its developers -Clemente and Greenspan in "Winning at Mergers & Acquisitions" as well as in articles in HBR and M&A magazine. Grubb and Lamb recommend poaching employees and clients (magnet strategy) from firms in turmoil, which is a great idea but not really new. It's discussed in detail in "Five Frogs" by Feldman and Spratt, again from the standpoint of being a weakness to the acquired firm. Most importantly, Grubb and Lamb recommend using a survival threat to jump-start internal change. I've seen it work -- but it can also send employees running for the competition as they fear the loss of their own security. All in all, this book is mostly common sense. Much of the good, bad and ugly has already been written by the thoughtleaders in this field --Clemente/Greenspan, Marks/Mirvis, and Feldman/Spratt. Their strategies for planning, implementing and integrating acquisitions are both pioneering and time-tested. This book seems to have found a novel way to flip that knowledge bank on its head and give an outsider's viewpoint. The authors deserve credit for that.     Fritz makes some excellent points here about identifying and resolving structural conflicts in organizations. As a 30 or 40 page article, with numerous real-life examples, it would have been an excellent "primer". As a full length read, though, you walk away feeling somewhat cheated: *There's no discussion of how to actually diagnose structure conflicts (which you need to make use of these concepts). *No mention of how to address more complex structural conflicts, where the resolution would have to occur over time. *And the discussion of "structural tension" provided here is just one piece of what you need to design an effective organization. Two other concerns: (1) The book is decidedly skimpy on real company examples. (2) The numerous pitches for Fritz's consulting and training practice become downright grating. Good ideas here, but not well presented.

Who in your organization is the authority on these subjects? Unfortunately, at the age of 93 W. Edwards Deming passed away on Dec. 20th of 1993.
