I was given this book for free by someone who had used it for a college course and didn't want it. I couldn't believe the person wanted to throw it away. This book tells all the basics of business law. If you don't know anything about business law, read it. It is a good book for beginners. I know I will keep it for a reference book for a long time. My professor loved it!
I bought this book, but I happened to be lucky enough to have a wonderful torts professor so that I never even opened it. However, with that said, I still had experience with this book. My teacher used the examples from it constantly in class to help us understand torts, and it was wonderful. My professor openly advocates this book and many of my classmates swore by it. I do think it could use a little help on the negligence section, but if your torts professor was as horrible as some of my fellow 1Ls, then I highly recommend you purchase this book as a supplement to quiz yourself and make sure you've got those prima facie cases down pat, inside and out.

Very good, but could use improvement
This book does a very good job of covering intentional torts and the law of negligence. The section in the newest edition on exam writing is also very good. It could, however, include a chapter or two on products liability and other torts typically covered in first-year torts i.e. defamation, misrepresentation etc. I recommend, but not as highly as I'd recommend Glannon on Civil Procedure.

AVOID THIS TREATISE
I strongly recommend against buying this book. A lot of the material covered in a first year Torts class is not covered in this book; a few examples are false imprisonment, defamation, and invasion of privacy. In addition, this book has MISTAKES in it regarding the law; one example is it does not specify the standard of care owed by a physician in a medical malpractice case correctly. Of course it does not even have a separate section dealing with duty owed by professionals...

Instead of this book, I would strongly recommend Understanding Torts by Diamond (Lexis) or the Law of Torts by Dobbs (West).

Not Worth the Money
Generally, the Examples and Explanations series are thorough and helpful. However, this particular book falls short. There are 7 intentional torts; yet, this book only covers assault and battery. Additionally, only 2 privileges are covered -- self-defense and consent. I didn't bother looking at how the book covered negligence. Unless your Torts I class provides a survey of the material, especially the intentional torts, do NOT buy this book if you want extensive treatment of torts concepts.

Initially Puzzled But Ultimately Pleased
I was expecting a book about small pastries (I LOVE pastries!), with perhaps lots of lush, full-color photos of tasty raspberry-jam-filled confections (I LOVE raspberry jam!). But, to my initial disappointment, I instead found a book explaining some kind of legal rigmarole about suing people for damaging persons or property. Despite its dry, abstract subject matter, this book actually turned out to be an extremely gripping read. (I devoured it all in one sitting, staying up all night because I just had to know how it ended.) Even if you're only interested in opening your own little patisserie and spreading joy to people through your talent with filo dough, I highly recommend this book anyway: After all, you never know when a customer might slip and fall in your shop. ... The BEST book I've found too!
I borrowed an older version of this book from the library and had to buy it. This is THE best book on corporate minutes I hve ever read...and I have read many! It is very specific. It has all the forms in print and on disk. It not only tells you how to fill in the forms but why! If you run a small corporation and don't want to pay a lawyer to do all you minutes, this book is a must!

Best Book I've Found!!
I borrowed this from the library to check it out and now I own it. It covers everything you can think of needing. And it explains every form in detail ....the why and how.

I've recently set up several corporate structures for small business ventures. In preparation, I took a couple of short classes at a local community college and read several books.

Most of the information in other books was very general. They would say something like, "you must do X to protect your corporate status," without telling you *how* to do it.

This is the only book I've found that clearly describes all the steps needed to properly set up and maintain your corporation. It does not cover choice of corporate structure or the actual incorporation process, but instead explains all the things you must do to maintain the legal and tax protections provided by your corporation once it is established. It also includes an extensive set of forms, all on CD-ROM. The forms are supplied in Rich Text Format, also known as rtf, and can be read by most word processors.

(Note to Macintosh users - although the book says that the CD-ROM is not "supported" on the Mac, I had no trouble opening and using the forms.)

Keep your corporate status. Record vital meeting minutes.
One simple reason to record meeting minutes is to be able to retain the precious corporate status of your business. Otherwise, the courts may strip away the corporate status leaving the owners vulnerable to lawsuits. That's one of the many things I learned by reading just the first chapter in this book.

I first ordered it because I wanted templates I could customize for my own company and I had read that this Nolo book had almost a 100 different forms in electronic format (CD-ROM) that I can use for recording all kinds of important corporate decisions. But when I got the book, I was surprised that it was such a heavy book and curiosity got the better of me and I started skimming through the various chapters.

This book has more than just tear out forms and electronic versions of these forms. Keeping with Nolo tradition, it has about 20 chapters dedicated to explaining in great detail all the various forms that can be used for recording corporate meeting minutes and HOW to use these forms. It made eveverything really easy!

The first 8 chapters of the book are about how to hold the meetings and record the minutes (including How to Take Action by Written Consent Without a Meeting). The chapters following that include topics like 'Corporate Tax Resolutions', 'Corporate Hiring and Appointment Resolutions', 'Resolutions for Loans to the Corporation', and 'Stock Issuance Resolutions'. I especially like the discussion of Legal and Tax Issues Affecting Stock Issuance and Loans to the Corporation by Shareholders and Other Insiders.

This is probably the most expensive Nolo book that you can purchase (almost twice their cheapest book) but I didn't hesitate even a second to buy this book because I was sure I would spend hours trying to come up with my own forms for meeting minutes. The Surveyor's Bible
While preparing for my licensing exam, I read this book from cover to cover. It addresses every principle of retracement (sequential and simultaneous conveyances), public lands, and riparian issues thoroughly. The highlighted "principle" at the heading of each new topic makes remembering the main points simple. I can honestly say that every question on the NCEES exam that dealt with general principles and practice was answered in this book. I passed on my first sitting, and this book was one of the main reasons why. If you can only study one reference, this is it. Every practicing surveyor should also refer to it regularly.

I have the audio cassette version, and i must admit this is one of Zigs best audio programs. The first part of the tape or cd talks about Self Image, then it goes on the Prospecting, and then other areas of sales. Dont waste your money on any of Ziglars other tapes, if you want an audio program which will benefit all areas of your life, this is the one. We are all in sales, you sell yourself in an interview when trying to land that job you want, you sell yourself to that guy or girl that you want to ask out on a date. We are all in sales. Just a little note, these audio programs where done quiet a few years ago, and now they have been put onto Cd's, if only it were made available on cd in the first place, because i ended up buying the cd version and giving the cassette version to my friend. Another way to generate sales. I hope you enjoy this program, its the only one you need to succeed.

Good Resource Guide
This book provided me with the essential information an LLC owner needs to avoid trouble with the IRS and the courts. This book contains a lot of practicle information, useful forms and many real life examples. It covers meeting minutes preparation, record keeping and the updated Federal 2003 Tax Act. This is a must book for any LLC owner!

Can't imagine many people need this book.
Generally I have to say I was a little disappointed with this book. To be fair it lives up to its claims that it will basically help you run LLC meetings and provides forms for most basic LLC functions EXCEPT creating one. It provides no business advice and no tax advice to help with serious beginning operation issues. I was hoping for a book that would offer advice and successful strategies for managing money in the LLC and discuss tax strategies and so on. Advice, that would help me operate an LLC with the legal documents to back up the advice. That is not what this book contains.

This book will not teach you how to begin running your own LLC business. But if you are an LLC member with two other members in your LLC it will tell you to use form 7 to formally announce the meetings and form 8 to guarantee that the announcement has been received and 9 to proactively declare that the meeting contents will be....

This book will not help you make tough decisions but it will tell you what to do if you have already made a decision. If that's really all that you want you have found your book.

What strikes me as odd is that the two most important documents as stated at the start of the book, the operating agreement and articles of organization, are not included in this book. For that topic they have written a whole SEPARATE BOOK for you to buy and they kindly point you in that direction.

My general feeling is that this 50-dollar book is too pricey for what it offers. They should drop the tear-out pages, that no one will ever use since the forms are on the CD, and the one or two pages for each states specific LLC rules, which could easily also be on the CD since you most likely only need the paragraph that pertains to your state, that make up HALF the content of the book and lower the price to 20. ...
