Some texts can be so completely dry, and this one has the potential to be so. Yet this book reads easily, and is kind enough to emphasize much of the text with highlights, boldings, and other wonderful devices to help draw your attention to important details. This book also has a fantastic variety of cases to point out certain aspects of the law. I would definately recommend this one if you are studing the law!

This book is even better than the excellent business law textbook I used (but no longer have) in college in the late 1960's. It has all the utilitarian features necessary for a textbook but likewise has enough depth and user-friendliness for a home reference tome.

The only significant criticism I can offer is that, for a book in this very high price range, it should have a more durable binding. It does have full cloth-covered hardback covers *but* the page section is only "perfect-bound" (i.e., pages held together merely with glue) rather than having a sewn binding. It seems to me that a ... book should have a sewn binding! I've noticed how most books classified as "textbooks" have such very high prices yet have rather cheap bindings. It's no wonder a college education costs a small fortune these days--- the textbook price alone is enough to drive one into penury, and even then the book(s) will eventually fall apart under very heavy use.

Anyhow, this book is wonderfully useful in its content and for that reason I recommend it highly.

I am using several business law textbooks for my self-study.Comparing to others,this book is difficult to understand.The selection of the Cases differs from others which makes me confused.Structure of the content differs too.It's a complicated book to understand for a self-studying person.

3-0 out of 5 stars Adequate for the undergraduate college student
After 21 years of teaching, both in private college and law school, and as a 23-year legal practitioner, licensed in Hawaii and New York, I perhaps have too much technical knowledge of the law to pass judgment on a text meant clearly to cover, in an almost glib and obsessively-current fashion, virtually the entire spectrum of the law.

That being said, the text is useful in plowing through the sometimes grandiloquent excesses of law terms and concepts in mostly plain English. Its major flaw is trying to accomplish too much with too little. The multitudinous case decisions are often so short as to reveal little of the policy reasoning behind the law, certainly a key to a would-be manager or businessman. Concepts, when explained, are often truncated, leaving students somewhat bewildered. Coverage of products liability is a case in point -- the question constantly arises: why hold a manufacturer liable without fault? There are correct answers given, to be sure, but they are not fully explained and college students often tend to look at fault rather than economic analysis when a product injures a consumer; the economic concept of strict products liability is hardly an intuitive one, but it is crucial to those students who enter into products manufacture and distribution.

One also wonders why the constitution, criminal law, torts, and such are placed in a business law text. They have minimal relation to the real-world of business and there is just too much information already, even for 2 terms, to cover adequately. I would exclude or minimize these kinds of topics.

Properly the authors have cut back on certain areas which in prior editions constititued perhaps 5+ chapters each. But this is the flip side of the coin. The book is at once too much and too little. At least in our college, this text is used for a course in business law for managers. I'm afraid it is not quite that. Managers need to know what to do when a legal problem, from sexual harassment allegations to a regulatory complaint, comes before them. There is precious little "how" to the practical question of "what do I do now?". In fact, there should be answers to that practical question in every chapter.

There are far too many federal trial court opinions which, frankly, are so new and of so little legal weight (binding only in the particular district), that I wonder why they are included at all in text form, when they can be footnoted, if cited at all. Internet law and "cyberlaw" are cases in point. I realize this is an emerging area in the law, but precisely for that reason, these cases largely have no business being placed in text form until appellate courts have given us broader guidance.

Perhaps I have been too harsh on the text. It is well-written, understandable, generally clear to the college student, and may well be the best general text for undergraduates. But I would like to see much more progress made in the areas I have discussed.

West's Business Law is amazing for the student of business law. It presents complicated subject matter in a way that can be understood. After reading it, I felt "everyone should read this book," because it applies to so many situations we could face in everyday life. It provides a more in-depth and overall law presentation than most college text books. If you hunger for knowledge of the law (whether you want to be a lawyer or not), you will be filled by the material in West's Business Law. My husband has a business law class right now which uses another textbook and there is no comparison. I only regret that I lost my West's Business Law when I was moving, because it is one textbook I had wanted to keep forever. ... Read more

As an attorney, manager, and teacher of human resources professionals, I recommend this book. I found that thie information was thoroughly researched. I also appreciated that the legal information was presented in a business context so that managers who are not lawyers could understand the information and readily appy it to real life workplace problems.

I think the book is so liberal and it advocate large government. Freedom is not through following the forced laws like affirmative action, ADA, etc. but having a choice especially in employment. Employer should have the say on what they want and who they want to work and not work. The book pretty much tells you that this is the law and its good for you ,so follow or else.
That is socialistic.
We are giving more power to the government to tie us down with more laws and regulation. Their responsibility is to protect the citizens and not to do business. That's for the private sector.

This book gives a good comprehensive look at the mountain of law and regulations encountering employees in both the public and private sector. The examples in the beginning of each chapter are very useful as well as the actual cases used to exemplify how the law has been applied to real-world situations.

The author of this book had a clear agenda, and made it very clear what her opinions were. I for one am tired of having liberal agenda's crammed down our throats no matter what school I attend. I am using this textbook in several of my classes, and let me just say- it has everything I could have hoped for. The chapters are laid out well, many cases are cited, and the student is given actual cases to figure out, with the citations given at the end so he can find the actual outcome. I've found this to be among the best textbooks. It is so good, in fact that I've reccomended it to several of my friends who are going into business for themselves. This covers nearly everything they'll need to know regarding contracts, secured transactions, warranties, etc.

This is an excellent text. It incorporates the law, as well as
legal research methodologies. For instance, a standard chapter
contains an outline, common law sources,constitutional,
statutory and administrative laws/rule-making. The work cites
computerized legal research in WESTLAW and LEXIS. Relevant
international legal citations are listed. The applicable
United States Code is cited by Title and specific paragraph.
In some cases, individual state legal codes are cited. There
are exhaustic sets of historical and statutory notes, cross
references and federal practice notes. Each chapter has a
comprehensive case study with a brief synopsis, cited case
and final disposition. There are teaching suggestions at the
end of the instructor's manual together with discussion
questions, research assignments and an explanation of footnotes.
In addition, there is an exhaustive section on essay question
answers.

What most surprised me about this book was that I found it fascinating reading. It is doubtless extremely helpful for anyone facing a law school exam, particularly in the first year, but it is equally valuable, perhaps more valuable, for anyone CONSIDERING GOING TO LAW SCHOOL. I would be surprised if anyone reading this book didn't gain both an advantage on their law school exams and a better understanding of what the legal system is all about. I learned a lot.

Getting to Maybe should be required reading on every law student's list! The authors take the mystery out of writing great law school exams. They tell you what the professor wants, and how to deliver that message. I wish I had had this book in law school. I spent the better part of 3 years wondering which coins the professors flipped to give grades. This book also is helpful for anyone taking a bar examination. The investment of $19.95 is a great deal!

This book saved my law school carreer. law school tests are notoriously ambigous. There are no right answers. Unfortunatly, there seems to be no help for students. One of the proscribed methods is the IRAC method (when you get to school you will learn this and this is not the time to write about it). This book gives you a different way of acheving success in the test. The book does criticize IRAC and offers its own way of handling the testing questions. "Getting To Maybe" is written by law professors and who would know more about passing their tests as well as how a professor thinks? The book is a well written philosophy on the test and the mistakes. The authors spend a great deal of time explaining their philosophy and it is helpfull for the second half of the book. The book shows the common test question mistakes and how to fix them. The book also provides sample tests with sample answers and explanations of why they are good answers. This is the best part of the book, a side by side comparison of good and bad answers which makes this book invaluable. Highly reccommended.

Who better to get advice on law exams from than two law professors, who also graduated at the top of Harvard Law's class? My grades have gone up and up since reading (and re-reading) this book. Anyone who goes to law school, especially where competition for grades is tight will benefit. The more you read it, the more you grasp the strategy. So don't get discouraged if you're a bit confused the first time. I'd recommend reading through this before you enter law school and at least once (maybe twice) a semester as you can squeeze in a few extra minutes. I've looked at every book about legal reasoning and taking law exams that I've been able to get my hands on and this book has the best system by far. It might not be the easiest system to understand (after all the easy road isn't always the best road in law school), but once you grasp it you'll be thankful.

I gave this book two stars for its discussion on addressing policy issues on the exam--this was helpful, indeed. It also gives good tips and provides answers to frequently asked questions on how to prepare--but this is standard advice you'll hear in any law school. Does this book provide a concrete strategy on handling a law school exam? This book is well-organized and written. It covers the major
subject areas for the CPA exam thoroughly. There is more than
adequate treatment in the areas of contract law, sales

I bought this book a week ago. I am a foreign-educated lawyer and I have decided to compare Business Law of my country with Business Law in USA (learned at the US colleges and universities). I was pleasently suprised and also very satisfied with this buy. I appreciate very much the complete coverage of business law topics - especially integration of ethics, social responsibility, economics, historic issues into the presentation of business law topics as well as international topics. The book is written using clear language without problems of understanding as well as for non-native English readers. It was a perfect idea to include TOTALAW CD-ROM which provides access to 30 updated acts and statutes. I appreciate it. I would say the book worth its price and I highly recommend it to everybody who is in any connection with business law. 3-0 out of 5 stars A digest of rules too broad for serious instructional use.
The 5th Edition of "Business Law Today, The Essentials" is a slightly pared down, paper-bound version of the authors' hard back college text "Business Law Today, - Text and Summarized Cases, Legal, Ethical, Regulatory and International Environment."

SUMMARY. The book fills the bill as a "Readers Digest" reference work on general legal principles. But, it is too broad in its treatment to be a reliable resource for comprehensive instructional purposes.

BASIS. This reviewer is an attorney with over 25 years experience teaching business law. The writer uses the 5th edition of this work, and used the 2d, 3d and 4th editions of the text, as a required instructional resource in accordance with directions from academic administrators.

POSITIVE ASPECTS.

- The 5th edition of "Business Law Today, The Essentials" is well written and very readable. The presentation is visually attractive.

- It includes new material on the up-to-date issues created by e-commerce and cyber law.

- There are excellent chapter summaries highlighting, in outline form, the major topics covered in the chapter.

- There are numerous marginal references to Web sites and sources for additional help and information.

CONCERNS.

- Content appears to have been sacrificed for aesthetic white space & wide margins. This has been a continuing trend. With each "new edition" there has been less and less textual material. Major legal concepts are given a short treatment of only a sentence or two. However, the interesting and provocative discussion questions at the end of the chapters raise issues which, if they have been addressed by the courts, cannot be correctly resolved based on the information in the text. The result is students have a misconception as to how a principle works or how the majority of courts might rule. When missing information is added by the instructor, student reaction is frustration and distrust of the text.

-Whole concepts have been deleted from text between editions.(Although, thankfully, the topic of usury, a major concept in business law which was totally deleted from the 4th edition, is again mentioned in the 5th edition.)

- Case examples too often tend to focus on the more colorful, unusual exception to a controlling legal principle, rather than explaining the rationale for the majority rule or demonstrating how a principle works in daily business situations. The result is often student confusion, since one does not learn a general principle where the only example of the its application is an exceptional situation where the general rule is not apply.

- Support materials and test bank answers to questions are unreliable. While the answers given in the test bank are legally correct, about 10-15% of the time it is reported the correct answer to a test bank question cannot be extracted from the textual explanation on the cited page in "The Essentials" edition of the text. ... I've read a number of books and literally thousands of web pages of information about Sarbanes-Oxley, and have to rank this book as the best starting point for stakeholders who are peripherally involved in compliance. The reasons are:

(1) It's readable! This is not a dry, boring tome, but a highly readable summary of Sarbanes-Oxley, what it is (and isn't), and realistic examples and anecdotes to reinforce the material.
(2) It covers a surprisingly lot of ground for a book aimed at a non-practitioner audience. The Control Smart Framework, detailed advice on identifying threats and vulnerabilities, and how to protect yourself are invaluable to anyone directly or indirectly involved in Sarbanes-Oxley compliance.

In addition to the rich information and clear explanations of key elements of Sarbanes-Oxley I like the appendices, which also provide useful information - especially appendices B (Key Performance Indicator Reporting), C (Examples of Key Performance Indicators) and D (Control Activities).

This book will quickly get you up-to-speed about Sarbanes-Oxley and its ramifications, and will do so relatively painlessly compared to other books on the basics of the Act.

If you're looking for a more in-depth book, especially one that addresses the scope and complexity of Section 404 compliance, I highly recommend "How to Comply with Sarbanes-Oxley Section 404: Assessing the Effectiveness of Internal Control (ISBN 0471653667). If you are an IT professional I strongly recommend visiting Information Systems Audit and Control Association (ASIN B00006BW74), which makes available a free 84-page document titled "IT Control Objectives for Sarbanes-Oxley". Sarbanes-Oxley Act (SOA) is probably the single most important law affecting corporate governance and financial disclosure since the US securities laws of the early 1930s.
This book describes in a practical and concise manner the complexity of Sarbanes-Oxley Act for non-financial managers and directors, and gives a pathway model to develop an efficient control environment of businesses. I found very useful and straightforward to implement the Control Smart approach to help obliterate vulnerabilities and develop a strong defense against corporate fraud.
I think that this book is a valuable, must read guide for both, financial and non-financial managers. I would also recommend it as reference manual for management training programs as well as business schools.

I found the book to be smooth reading and very informative. The book provides detailed examples of internal control issues from actual companies. I have a newfound understanding of these issues now, because of the level of detail and the varied perspectives provided in by the author. I would recommend this book to anyone in a managerial position concerned with internal controls in their organization.

The title to this book, while timely, doesn't really do the content justice, for the book is more than just a guide to the Sarbanes-Oxley Act - it addresses a range of corporate risk management issues to relevent to middle level managers up through board members. Scott Green manages to strike a good balance between discussions of strategic issues and of practical implementation considerations in the areas of control and fraud prevention mechanisms. It also contains some of the more insightful assessments I've seen of "what went wrong" at some of the more notable corporate failures of recent times. The book is written in a highly readable fashion and I'd recommend it to any manager, company advisor, or board member looking to get a better handle on considerations related to Sarbanes-Oxley and the topic of internal controls in general.

Like many Americans, I didn't know much about our country's principles of government or its legal system. This book helped me to become more knowledgeable about both. I admit, this is not reading I would choose to curl up with in front of the fire; this was part of a requirement for my MBA. However, I will remember what I've learned in this text long after my class ends. Having previously been clueless about the legal system, it is now exhilarating to read about, say, how the nine US Supreme Court Justices are dealing with the aftermath of the Gore vs. Bush debacle and actually understand what is going on. The chapters are well-organized and easy to understand. There are even helpful study tips and ways to brief a legal case in the beginning of the text. Reading this book is like finally getting a good bottle of aged wine after drinking years of fruit punch. From the descriptions of the seedy offshore planners who sell Cook Islands trusts to people whether they need it or not, to the domestic seminar promoters who line up shills to encourage attendees to buy cheapie family limited partnership kits, this book gives a candid look into how asset protection is sometimes shamelessly promoted. Having revealed the dirt under the rug, the book then goes on to address asset protection as a field of risk management and gives the best treatment of fraudulent transfer and bankruptcy preference rules that I have ever read. Just about all the popular asset protection strategies are reviewed, from Nevada bearer share entities to complex litigation expense policies, with the major strengths and weaknesses of each pointed out. The book spends quite a bit of time discussing both foreign and domestic asset protection trusts and their potential flaws (if I were a creditor attempting to penetrate such a structure, this would be the first resource that I would turn to), such that it is a wonderment that those structures are even used at all. Overall, the writing style is good, with just enough technical background on key points to let serious researchers know where to start, without it being overwhelming for the average business reader. Kudos to Jay and Chris. This book is well-researched and provides a level of thoughtfulness and depth of content that has been sadly absent from all the other books considering the topic of asset protection. Big thumbs up!

Pretty good book. The book counters a lot of hype by promoters of "bulletproof" asset protection plans, which do not exist apparently. All plans can fail no matter how elegant.
Moderately complex for a layman to read. Some material over the head of most laypersons. Most material practical. Some abstract theory of not much interest to clients.

I am an attorney and real estate investor and am concerned about asset protection issues. This is the only book I've read that discusses both the plusses and minuses of various known techniques and also gives excellent big picture advice. Every other book has advocated specific cookie cutter techniques and left me wondering "would this really work if...?" This book tells you why those techniques do not work. Forget about that trust in the Cook Islands, by the way, unless you are willing to flee the country.

Just finished it. This was a very well-written book, although it is hard to figure out who the intended audience is. It doesn't seem like they are writing to potential clients, since much of the subject matter is complex, but it is written somewhat like a novel, with occasional anecdotes, so more than just other planners would get something meaningful out of it. The writing style reminds me a lot of the Burton Malkiel classic "A Random Walk Down Wall Street" where there is a mixture of technical theory heavily laced with enlightening storytelling. It definitely has the flavor of professional editing by McGraw-Hill's staff and is obviously not a self-published work. Anyhow, whether you are looking for asset protection solutions or not, the book is quite entertaining and gives an often unflattering view of how asset protection is marketed, such as seminar promoters hiring shills to sit in the audience and act like they are participants to encourage others in the audience to buy kits. A good fifth of the book seems to be an expose of offshore trusts - you certainly won't read this book and rush out to start your own offshore trust after reading about how some people who set them up have gone to jail. The section on equity stripping is very good, as is the section on offshore limited liability companies. This book has ample diagrams to help explain complicated strategies, but the part on advanced methodologies whetted my appetite to learn more and I wish that several additional chapters had been devoted to these topics. It is refreshing to finally see a book whose treatment of asset protection goes beyond "just hire me to hide your money overseas" as so many of the books heretofore have done.

This is a very different book about asset protection. It is factual and technical and seems to be written more as a guide to professionals to implement asset protection plans than to the general public, making it the first of its kind. This book does not talk about litigation crises or how the average American is likely to be sued. It does not dwell on the offshore islands where people hide money, and it does not give hints about hiding money or tax evasion. What it does do is give a very good overview of assets protection as it relates to complex legal planning. It talks in great detail about the fraudulent transfer laws and the bankruptcy laws. It talks about how to maximize the benefits of mostly domestic structures, strengthened only as necessary by offshore planning. There is a discussion of captive insurance companies and offshore life insurance, but it is toward the end and does not dominate the book. I think that the best parts of the book were giving an inside glimpse into the asset protection planning world, and showing how the mostly highly marketed structures suffer from serious defects. This is definitely a wake-up call for those who are serious about asset protection, and do not want to fall under the spell of some marketer who sounds good but doesn't really know what they are talking about. We could certainly use a few more books about asset protection like this one, and less of the self-promotional offshore type. ... Read more

This is a wonderful book because of the way it is organized from the definitions of law and how American government works in terms of business dealings and legal relationships with others. I'm impressed at the margin headings of each chapter and a thorough definitions of each law which is easy for the reader to read and understand. An additional pro of this book is the numerous case examples given within each chapter and towards the end. Each case is interesting and useful once you take a thorough look through it.

Some flaws that I found with this item is on the Study Guide, where some erroneous answers are found, that is to say, it does not comply with the answers given in the back of the book. Other than that, this book is great and should always be kept in a library for legal purposes. Excellent work.
